A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
MIAMI GARDENS,FLORIDA, AUTHORIZING THE CITY
TYLERTO ORDER PURCHASEAISSUE TOMANAGER
TECHNOLOGIES, INC., FOR THE MAINTENANCE SUPPORT
AND LICENSES OF THE EDEN SOFTWARE PACKAGE, IN AN
AMOUNT NOT TO EXCEED ONE HUNDRED NINETEEN
THOUSAND NINE HUNDRED FORTY-TWO DOLLARS AND
ONE CENT ($119,942.01), BY RELYING UPON QUOTE
NUMBER 045-180652; WAIVING THE BID AND QUOTATION
PROCEDURE PURSUANT TO SECTION 2-757(B)(1) OF THE
PROCUREMENT CODE; PROVIDING FOR THE ADOPTION OF
REPRESENTATIONS; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on December 14, 2005, the City Council adopted Resolution Number
2005-169-346, which authorized the purchase of the Tyler Technologies’ Enterprise
Resource Planning (ERP) System – EDEN, and
WHEREAS, Tyler Technologies’ Enterprise Resource Planning (ERP) System is
the primary Enterprise Resource System for City Departments; such as the Human
Resources Department, Finance Department, the Office of Procurement Management,
Building Services and the Planning and Zoning Department, and
WHEREAS, on December 14, 2005, City Council authorized the City Manager to
negotiate and contract with Tyler Technologies Inc., Eden Division, for fully integrated
City-wide software system, in an amount not to exceed Six Hundred Fifty Thousand
Dollars ($650,000.00), and
WHEREAS, the agreement included licenses, technical support and maintenance
for Tyler EDEN, and
WHEREAS, the cost for maintenance in 2022 was $116,448.59, and
WHEREAS, the cost for maintenance in 2023 is $119,942.01, this current cost for
maintenance is an increase of approximately three percent (3%) above last year’s cost,
and
Technologies’Tyler acquiredhas Gardens City of theWHEREAS, Miami
Enterprise Resource Planning (ERP) System – EDEN, as our primary ERP City wide
integrated software system, and
WHEREAS, the Eden Software is proprietary software and the only company that
can service and maintain the ERP system is Tyler EDEN, and

WHEREAS, Tyler Technologies is the only one reasonable source to provide
maintenance for the City’s ERP system, and
WHEREAS, Procurement Code Section 2-757 (b)(1) allows for the exceptions and
waivers to bid and quotation procedure upon the recommendation of the city manager
that it is in the city's best interest to do so to obtain goods and services which cannot be
acquired through the normal purchasing process due to insufficient time, the nature of the
goods or services, or other factors, and
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF MIAMI GARDENS, FLORIDA AS FOLLOWS:
Section 1: ADOPTION OF REPRESENTATIONS: The foregoing Whereas
paragraphs are hereby ratified and confirmed as being true, and the same are hereby
made a specific part of this Resolution.
Section 2: AUTHORIZATION: The City Council of the City of Miami Gardens
hereby authorizes the City Manager to issue a purchase order to Tyler Technologies, Inc.,
for the maintenance support and licenses of the EDEN software package, in an amount
not to exceed One Hundred Nineteen Thousand Nine Hundred Forty-Two Dollars and
One Cent ($119,942.01), by relying upon quote number 045-180652, and waives the bid
and quotation procedure pursuant to Section 2-757 (b)(1) of the Procurement Code
Section 3: EFFECTIVE DATE: This Resolution shall take effect immediately upon its final
passage.

GARDENS AT ITS REGULAR MEETING HELD ON DECEMBER 14, 2022.
