INTRODUCTION AND PURPOSE Pursuant to the Uniform Community Development District Act of 1980, as amended, codified at Chapter 190, Florida Statutes, and all applicable provisions of the City of Miami Gardens Code of Ordinances, EnSima Holdings, LLC, as Petitioner, hereby respectfully petitions the City of Miami Gardens to establish a Community Development District ("CDD" or the "District") to serve the EnSima Mixed-Use Development, a master-planned, mixed-use condominium community to be developed at 18335 NW 27th Avenue, Miami Gardens, Florida 33056. The Petitioner requests that the City of Miami Gardens exercise its full authority under Chapter 190, Florida Statutes to establish the District, authorize the issuance of special assessment bonds, and assume responsibility for bond issuance oversight and administration in order to efficiently finance the acquisition, construction, and installation of the public infrastructure improvements required to serve the District. The establishment of the CDD will serve the public interest by providing a dedicated, accountable, and financially sound mechanism to fund and manage the infrastructure serving this transformative community development project within the NW 27th Avenue Community Redevelopment Area (CRA) corridor. This Petition is accompanied by: (1) a metes-and-bounds legal description of the land to be included within the District; (2) a master development plan depicting the proposed land uses within the District; (3) a preliminary infrastructure cost estimate; (4) a statement of the proposed timetable for construction of the District improvements; (5) documentation of the pending land acquisition; and (6) the required filing fee. All documents and exhibits are incorporated herein by reference. II. PETITIONER AND OWNERSHIP A. Petitioner The Petitioner is EnSima Holdings, LLC, a Florida limited liability company, whose principal address is 18335 NW 27th Avenue, Miami Gardens, Florida 33056. EnSima Holdings, LLC is the sponsor, developer, and controlling member of EnSima Miami LLC, the entity which holds the executed Commercial Contract for acquisition of the core assemblage comprising the proposed District land. B. Land Ownership and Acquisition Status EnSima Miami LLC, an affiliate of EnSima Holdings, LLC, entered into a fully-executed Commercial Contract dated December 2, 2025, with 18335 NW 27 Ave LLC, a Florida limited liability company ("Seller"), for the acquisition of the core property at 18335 NW 27th Avenue, Miami Gardens, Florida. The closing date is April 26, 2026. The property is being conveyed by Special Warranty Deed, free of liens and encumbrances known to Seller, subject only to permitted exceptions as listed in Exhibit "A" attached to the Contract. The Buyer takes title subject to all existing title exceptions, covenants, easements, and restrictions of record as set forth in the title commitment. In addition to the initial assemblage, the Petitioner is in the process of acquiring three to four adjacent parcels comprising the balance of the full city block for approximately $10,000,000, which will expand the total site to approximately 10.22 acres (the "Full Site Assemblage"). The proposed District will encompass the Full Site Assemblage of 10.22 acres, consisting of six parcels in the aggregate, to be incorporated as the parcels are acquired through the block buyout process. The total land acquisition cost for purposes of the District is $50,000,000. Title to all parcels comprising the District will be held in the name of EnSima Miami LLC or its designated affiliate. As parcels are acquired, their legal descriptions will be supplemented to and made a part of the District's recorded boundary. III. DESCRIPTION OF DISTRICT LAND A. General Location The District land is located at 18335 NW 27th Avenue, Miami Gardens, Florida 33056, at the corner of NW 183rd Street and NW 27th Avenue (State Road 7), within the City of Miami Gardens, Miami-Dade County, Florida. The site is situated in the heart of the NW 27th Avenue Community Redevelopment Area (CRA) corridor, less than one mile from Hard Rock Stadium, the Formula 1 Miami International Autodrome, and the site of the 2026 FIFA World Cup venue, at the intersection of three major freeways. B. The legal description is based upon that certain Exhibit "A" attached to the Commercial Contract between EnSima Miami LLC and 18335 NW 27 Ave LLC, dated December 2, 2025, comprising Tract "A-1" of A Replat of a Portion of H&W Investments Subdivision recorded in Plat Book 82, Page 73, Tracts D and E of H & W Frontage Tracts recorded in Plat Book 87, Page 24, all in the Public Records of Miami-Dade County, Florida, as more particularly described therein. Legal descriptions for the adjacent expansion parcels will be added to the District boundary by amendment as each parcel is acquired. IV. PROJECT DESCRIPTION AND DEVELOPMENT PROGRAM A. Project Overview EnSima Miami I is a master-planned, mixed-use condominium development designed to deliver luxury-affordable ownership housing, a ground-floor retail village, and structured parking on a fully-assembled, city-block-scale site within the NW 27th Avenue CRA corridor. The project deploys an innovative construction system — RENCO fiber-composite structural blocks with a nano-graphene exterior skin — and carries Pininfarina architectural branding (the Italian firm behind Ferrari), enabling high-design outcomes at attainable price points. The Master Plan has been completed by Pininfarina. The Planned Development Pre-Application Design Review (PPDR) application has been approved by the City of Miami Gardens, and the Planning & Zoning Pre-Application Review Meeting has been conducted. Construction documents are being prepared for permit submittal targeting December 2026. Groundbreaking is scheduled for January 2027. B. Community Economic Impact The project will generate significant economic benefit to the City of Miami Gardens across multiple dimensions: •2,200 to 3,000 direct construction jobs over the 2027–2029 build window, plus 1,100 to 1,700 indirect construction-related jobs at peak construction. •300 to 480 permanent retail, food-service, grocery, and fitness positions at stabilization, including preservation of the Price Choice Supermarket anchor tenant. •50 to 100 permanent on-site property management, security, landscaping, and maintenance roles. V. INFRASTRUCTURE IMPROVEMENTS TO BE FINANCED BY THE DISTRICT The District is requested to finance the acquisition, construction, installation, and equipping of the public infrastructure improvements required to serve the District, including but not limited to the following categories of improvements. These improvements are described in greater detail in the Engineer's Report attached hereto as Exhibit "B". A. Land Acquisition The District's authorized improvements expressly include the acquisition of the land constituting the District itself. The total land acquisition cost for the full 10.22-acre, six-parcel site assemblage is $50,000,000, as reflected in the Master Budget Pro Forma. Bond proceeds will be used to fund or reimburse the Petitioner for all costs of land acquisition to the extent permitted by Chapter 190, Florida Statutes and applicable bond law. The initial three-parcel acquisition under the existing Commercial Contract (Purchase Price: $40,000,000) will be funded in part from CDD bond proceeds. The adjacent parcel acquisitions (estimated at $10,000,000) will similarly be funded from bond proceeds upon their acquisition. All land acquisition expenditures will be documented and submitted to the District's designated trustee for disbursement in accordance with the bond indenture. B. E. Soft Costs, Professional Services, and Financing Costs The District will finance the allocable share of soft costs, professional services, and financing costs attributable to District-funded improvements, including architecture and engineering, permits and plan review, insurance, environmental studies, legal fees, testing and inspections, and bond issuance costs. The CGMC engagement encompasses full CDD formation services, petition preparation and filing, bond structuring and underwriting coordination, district administration, and ongoing compliance support through bond retirement. All bonds will be repaid through special assessments levied on property within the District and will not constitute a general obligation or debt of the City of Miami Gardens. VII. BOND AUTHORIZATION AND REQUEST FOR CITY OVERSIGHT A. Request for City Bond Issuance Responsibility Pursuant to Chapter 190, Florida Statutes, and the provisions of the City of Miami Gardens Charter and Code, the Petitioner respectfully requests that the City of Miami Gardens assume primary oversight responsibility for the issuance of the District's special assessment bonds. The Petitioner and the District believe that City involvement in bond oversight will: (i) reduce the cost of capital to the District by providing market confidence and institutional credibility; (ii) facilitate timely bond issuance in alignment with the project construction schedule; (iii) ensure compliance with all applicable state and local legal requirements; and (iv) protect the long-term fiscal interests of future District residents and property owners. Special Assessment Methodology Special assessments will be levied annually on all taxable property within the District in amounts sufficient to pay debt service on the bonds and to fund the District's annual operations and maintenance budget. The assessment methodology will be established in the District's Assessment Methodology Report, to be prepared by CGMC and adopted by the District Board prior to bond issuance. Assessments will be allocated on an equitable basis among all benefited properties within the District in proportion to the special benefit received from District improvements, consistent with the requirements of Section 190.021, Florida Statutes. The Petitioner anticipates that the per-unit annual assessment will be structured to be supportable within the project's unit pricing and operating budget, and will be disclosed to all purchasers in the condominium documents, the Florida Developer Disclosure Statement, and the CDD Disclosure required by Section 190.048, Florida Statutes. D. X. PROPOSED DISTRICT NAME, INITIAL BOARD, AND OPERATIONS A. Proposed Name The proposed name of the Community Development District is the "EnSima Community Development District" (the "District"). B. Initial Board of Supervisors Pursuant to Section 190.006, Florida Statutes, the Petitioner designates the following five persons to serve as the initial Board of Supervisors of the District.
