Re: FPL Easement at Norwood Park/Pool for North Miami Beach
The City of North Miami Beach has an existing well (Well #17) at the south end of Norwood
Park/Pool. To supply power to the well an electrical transformer needs to be installed. FPL is
requesting a 12 feet easement area south of the park property and west of the existing well (see
attached "Sketch of Description" for details and location).
The Park Director has reviewed the location with the future park improvements and the layout of the
improvement will be adjusted to a11ow the FPL's request for the easement.
Recommendation:
That the City Council execute the Easement with FP&L and the Hold Harmless Agreement with the
City of North Miami Beach at Norwood Paxk/Pool Property.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MIAMI
GARDENS, FLORIDA, AUTHORIZING THE CITY CLERK AND CITY
MANAGER TO EXECUTE AND ATTEST, RESPECTIVELY, THAT
CERTAIN EASEMENT, A COPY OF WHICH IS ATTACHED HERETO AS
EXHIBIT "A," GRANTING AN EASEMENT IN FAVOR OF FP&L;
AUTHORIZING THE CITY CLERK AND CITY MANAGER TO EXECUTE
AND ATTEST, RESPECTIVELY, THAT CERTAIN HOLD HARMLESS
AGREEMENT, ATTACHED HERETO AS EXHIBIT "B," BETWEEN THE
CITY OF MIAMI GARDENS AND THE CITY OF NORTH MIAMI BEACH;
PROVIDING FOR INSTRUCTIONS TO THE CITY CLERK; PROVIDING
FOR THE ADOPTION OF REPRESENTATIONS; PROVIDING AN
EFFECTIVE DATE.
1 WHEREAS, the City of North Miami Beach has an existing well (Well No. 17)
2 located at the south end of Norwood Park/Pool, and
3 WHEREAS, in order to supply power to Well 17, FP&L has requested that the
4 City of Miami Gardens grant it a 12 foot easement over and below a part of the park
5 property, and
6 WHEREAS, as a pre-requisite to the City providing an easement to FP&L, the
7 City Attorney has required that North Miami Beach provide the City of Miami Gardens
8 with a Hold Harmless Agreement, and
9 WHEREAS, North Miami Beach has agreed to provide a Hold Harmless
10 Agreement,
11 NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
12 OF MIAMI GARDENS, FLORIDA, as follows:
13 Section 1. ADOPTION OF REPRESENTATIONS: The foregoing Whereas
14 paragraphs are hereby ratified and confirmed as being true, and the same are hereby
15 made a specific part of this Resolution.

16 Section 2. AUTHORITY: The City Manager and City Clerk are hereby
17 authorized and directed to execute and attest, respectively, that certain FP&L
18 Easement, a copy of which is attached hereto as Exhibit "A," and that certain Hold
19 Harmless Agreement, attached hereto as Exhibit "B," between the City of Miami
20 Gardens and the City of North Miami Beach.
21 Section 3. INSTRUCTIONS TO THE CITY CLERK: The City Clerk is hereby
22 authorized to obtain four (4) fully executed copies of the Easement Agreement, with one
23 to be maintained by the City; with two to be delivered to FP&L, and with one to be
24 directed to the Office of City Attorney. The City Clerk is further authorized to obtain four
25 (4) fully executed copies of the Hold Harmless Agreement, with one to be maintained by
26 the City; with two to be delivered to North Miami Beach, and with one to be directed to
27 the Office of City Attorney.
28 Section 4. EFFECTIVE DATE: This Resolution shall take effect immediately
29 upon its final passage.

HOLD HARMLESS AGREEMENT
THIS AGREEMENT is made this day of , 2007, between the City of
North Miami Beach ("NMB"), whose address is 17011 N.E. 19~' Avenue, North Miami Beach,
Florida 33162 and the City of Miami Gardens, ("CMG"), whose address is
WITNESSETH:
WHEREAS, CMG is the fee simple owner of that certain property described in the
Sketch and Legal attached hereto as Composite Exhibit "A" (the "Easement Property"); and
WHEREAS, NMB has requested that CMG grant an easement to Florida Power & Light
Company ("FP&L") for the construction, operation and maintenance of electric utility facilities,
including wires, guys, cables, conduits and appurtenant equipment, to be to be installed from
time to time, along with the right to reconstruct, improve, add to, enlarge, change the voltage, as
well as the size of and to remove such facilities or any of them within an area that is twelve (12)
foot in width in accordance with that Easement Agreement attached hereto as Exhibit "B," and
WHEREAS, CMG is willing to grant an easement to FP&L for the stated purpose, so
long as NMB holds CMG harmless for any loss, damage, injury or death resulting from the grant
of easement, subject to statutory limitations.
NOW, THEREFORE, for good and valuable consideration paid by NMB to CMG,
receipt of which is hereby acknowledged, CMG and NMB hereby agree as follows:
1. Mechanics Liens. NMB shall, at its sole cost and expense, take all necessary
action, without cost to CMG, to satisfy any mechanic's liens placed on the Easement Property as
a result of the Improvements or any other work performed by FP&L in the Easement Property.
2. Insurance. NMB is a municipal corporation and is self-insured. This is
acceptable to CMG.
3. Building nermits. Prior to the commencement of the Improvement work, NMB
shall ensure that FP&L secures any necessary building permits and such work shall be completed
in accordance with all applicable laws, codes, rules and regulations. All Improvement work shall
be conducted in a manner, which shall not cause any undue nuisance or disturbance to CMG or
any of the tenants, residents, invitees, employees or agents of CMG.
4. Hold Harmless. NMB shall hold the CMG harmless against all liability for any
such loss, damage, injury or death, caused by the negligence of FP&L, NMB or their agents or
employees during the construction and maintenance of the foregoing described Improvements or
by the maintenance and repair thereof, or by its presence or use on the property where the
easement is located. Nothing herein shall be construed as a waiver of sovereign immunity
enjoyed by any party hereto, as provided in Section 7.68.28, Florida Statutes, as amended from
time to time, or any other law providing limitations on claims.
5. Obligation to Assist Recoverv of Damages. CMG agrees to take any action
necessary, including initiating claim procedures and/or lawsuits, to assist NMB in recovering any
losses or damages caused by FPL arising out of the grant of easement refened to herein. The
cost of such action or assistance shall be borne by NMB.
6. Maintenance, Reqair and Reptacement. It shall be NMB's sole obligation to
ensure that all Improvements on the Easement property are installed, constructed, maintained,
repaired and replaced at no expense whatsoever to CMG. In the event that FP&L installs,
constructs, maintains, repairs or replaces any of the Improvements, NMB shall ensure that the
surface condition of the Easement Property and CMG's property and improvements thereon,

including trees, any improvements, and shrubs, are restored to the condition existing prior to
such construction, installation, maintenance, repair and/or replacement, except for the utility
facilities which necessitate the aforementioned grant of easement.
IN WITNESS WHEREOF, the parties have caused this Easement Agreement to be duly
signed in the manner set forth below.

Easement for Well No. 17
Dear Mr. Marder:
Please find enclosed herewith two (2) copies of the FP&L easement form and attached
descriptions for easement at the above referenced project site. The required FP&L
easement for Well No.17 has been placed due west of the existing well site easement
(already encumbered in 2003) and will require an additional 12-ft. wide section of
property next to the well, solely for the FPL transformer. Pursuant to FP&L requirements,
the owner of the property, in this case, the City of Miami Gardens will have to approve
and sign-off on the easement document need for the transformer.
Once the City of Miami Gardens has reviewed and executed the document, please contact
me, as I will then have NMB personnel present this instrument at the Miami-Dade
Courthouse to fited and recorded with the County Clerk. A certified original will then be
mailed back to you for your records.
