A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
MIAMI GARDENS, FLORIDA, WAIVING CLAUSE 28.6 OF THE
CITY OF MIAMI GARDENS NONEXCLUSIVE PROFESSIONAL
SERVICES AGREEMENT WITH A&P CONSULTING
TRANSPORTATION ENGINEERS CORP. (“A&P”); ASSIGNING
ALL CONTRACTS AND PURCHASE ORDERS TO A&P
CONSULTING TRANSPORTATION ENGINEERS CORP. TO
CHA CONSULTING, INC; PROVIDING FOR THE ADOPTION OF
REPRESENTATIONS; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on February 21, 2019, Request for Qualifications (RFQ) Number 18-
19-008 for Continuing Architectural and Engineering Services for Professional Fees Ten
Thousand Dollars ($10,000) to Two Hundred Thousand Dollars ($200,000) was solicited
via BidSync and closed on March 28, 2019, and
WHEREAS, A&P Consulting Transportation Engineers Corp. (“A&P”) was an
awardee under this solicitation Resolution # 2019-142-3271 and the resulting
Nonexclusive Professional Services Agreement (“Agreement”) contains Clause 28.6
which states “[t]his Agreement may not be assigned by the Consultant,” and
WHEREAS, A&P recently advised the City of Miami Gardens (“City”) that it was
acquired by CHA Consulting, Inc. (“CHA”) on July 2, 2022, and is requesting that all
contracts and Purchase Orders be re-assigned effective July 2, 2022 from A&P to CHA,
a copy of which is attached hereto as Exhibit “2”, and
WHEREAS, the professionals providing the services under those contracts will
remain the same, however, their capacity and resources will expand significantly based
on the acquisition, and
WHEREAS, City Staff recommends that the City Council waive Clause 28.6 of the
City of Miami Gardens Nonexclusive Professional Services Agreement with A&P and
assign all contracts and Purchase Orders to CHA,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF MIAMI GARDENS, FLORIDA AS FOLLOWS:
Section 1: ADOPTION OF REPRESENTATIONS: The foregoing Whereas
paragraphs are hereby ratified and confirmed as being true, and the same are hereby
made a specific part of this Resolution.
Section 2: AUTHORIZATION: The City Council of the City of Miami Gardens
hereby waives Clause 28.6 of the City of Miami Gardens Nonexclusive Professional
Services Agreement with A&P Consulting Transportation Engineers Corp. (“A&P”).
Further, the City Council of the City of Miami Gardens hereby assigns all contracts and

Purchase Orders to A&P Consulting Transportation Engineers Corp. to CHA Consulting,
Inc.
Section 3: EFFECTIVE DATE: This Resolution shall take effect immediately upon
its final passage.

GARDENS AT ITS REGULAR MEETING HELD ON FEBRUARY 22, 2023.
