A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
MIAMI GARDENS, FLORIDA, AUTHORIZING THE CITY
MANAGER TO ISSUE A PURCHASE ORDER TO TYLER
TECHNOLOGIES, INC., FOR THE MAINTENANCE SUPPORT
AND LICENSES OF THE EDEN SOFTWARE PACKAGE, IN AN
AMOUNT NOT TO EXCEED ONE HUNDRED THOUSAND FIVE
HUNDRED EIGHTY-FIVE DOLLARS AND EIGHTY-FOUR
CENTS ($100,585.84), BY RELYING UPON QUOTE NUMBER
045-445582; WAIVING THE BID AND QUOTATION
PROCEDURE PURSUANT TO SECTION 2-757(B)(1) OF THE
PROCUREMENT CODE; PROVIDING FOR THE ADOPTION OF
REPRESENTATIONS; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on December 14, 2005, the City Council adopted Resolution Number
2005-169-346, which authorized purchasing the Tyler Technologies' Enterprise Resource
Planning (ERP) System – EDEN, and
WHEREAS, Tyler Technologies' Enterprise Resource Planning (ERP) System is
the primary Enterprise Resource System for City Departments; such as the Human
Resources Department, Finance Department, the Office of Procurement Management,
Building Services and the Planning and Zoning Department, and
WHEREAS, on December 14, 2005, City Council authorized the City Manager to
negotiate and contract with Tyler Technologies Inc., Eden Division for fully integrated City-
wide software system, in an amount not to exceed Six Hundred Fifty Thousand Dollars
($650,000.00), and
WHEREAS, the agreement includes licenses, technical support and maintenance
for Tyler EDEN, and
WHEREAS, the cost for maintenance in 2023 was $119,942.01, and
WHEREAS, the cost for maintenance in 2024 is $100,585.84, a reduction of
$19,356.17, and
WHEREAS, the City of Miami Gardens has acquired Tyler Technologies
Enterprise Resource Planning (ERP) System - EDEN, as our primary ERP City wide
Enterprise Resource Planning (ERP) System, and
WHEREAS, the Eden Software is proprietary software and the only company that
can service and maintain the ERP system is Tyler EDEN, and
WHEREAS, Tyler Technologies is the only one reasonable source to provide
maintenance for the City's ERP system, and

WHEREAS, Procurement Code Section 2-757 (b)(1) allows for the exceptions and
waivers to bid and quotation procedure, and
WHEREAS, commodities or services are available only from a sole source, as
determined by the purchasing agent upon review of written summary of facts from the
department director requesting the purchase,
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF MIAMI GARDENS, FLORIDA AS FOLLOWS:
Section 1: ADOPTION OF REPRESENTATIONS: The foregoing Whereas
paragraphs are hereby ratified and confirmed as being true, and the same are hereby
made a specific part of this Resolution.
Section 2: AUTHORIZATION: The City Council of the City of Miami Gardens
hereby authorizes the City Manager to issue a purchase order to Tyler Technologies, Inc.,
for the maintenance support and licenses of the Eden Software Package, in an amount
not to exceed One Hundred Thousand Five Hundred Eighty-Five Dollars and Eighty-Four
Cents ($100,585.84), by relying upon quote number 045-445582, and waives the bid and
quotation procedure pursuant to Section 2-757(b)(1) of the Procurement Code.
Section 3: EFFECTIVE DATE: This Resolution shall take effect immediately upon
its final passage.

AT ITS REGULAR MEETING HELD ON FEBRUARY 28, 2024.
