This applies to all persons who are retained (whether paid or not) to represent a business entity or organization to influence “City” action. “City” action is broadly described to include the ranking and selection of professional consultants, and virtually all- legislative, quasi-judicial and administrative action. All not-for-profit organizations, local chamber and merchant groups, homeowner associations, or trade associations and unions must also register however an annual fee is not required. Staff Summary: The attached ordinance calls for the General Election for the City of Miami Gardens to take place on August 30, 2016, at which a Mayor will be elected for a four (4) year term; a Council member for Residential Area Seat 1 will be elected for a four (4) year term; a Council member for residential Area Seat 3, will be elected for a four (4) year term, and a Council member for at-large seat 5, will be elected for a four (4) year term. The Ordinance also provides for the closing of the election books (registered voters) thirty (29) days prior to the General Election. The qualifying dates for candidates will begin at 9:00 AM, Thursday, May 26, 2016, and end Thursday June 2, 2016, at 4:00 p.m. sharp! A Run-Off Election, if necessary will take place Tuesday, November 8, 2016. Fiscal Impact A budget of $35,000 is allocated in FY 2016 for election expenses. Item I-2) Ordinance Second Reading Bond Refinancing 29 of 99 18605 NW 27th Avenue Miami Gardens, Florida 33056 Staff Summary: In 2009, under Ordinance Number 2009-06-178 Council approved the borrowing of $7.3 million for the acquisition of economic development property located at NW 7 avenue extension and NW 7 Ave (Warren Henry property). The bond Series 2009 which is held by Wells Fargo, NA is to be matured on February 1, 2014 with a balloon payment of $6,311,999 in principal. The Council had approved three ordinances to extend the balloon payment until February 1, 2016. At the May 14, 2014 Council meeting, Council authorized the City Manager to negotiate and enter in to a contract for the sale of the property. Numerous amendments to the contract for the sale have been executed and the closing date has been extended beyond February 1, 2016. In December, Finance has issued a Request for Proposal to seek responses for refinancing Series 2009. The City received only one response from Bank United. The Commitment Letter issued by the Bank United has the following terms and conditions: a) Interest costs – variable rate based on 30 days LIBOR rate plus 2.25% b) Revenue Pledge – Public Service Tax and State Revenue Sharing c) Commitment fee – 0.50% of the issue amount d) Bank Counsel fee - $7,500 e) Term: 3 year term, principal and interest payment semiannually in arrears with a balloon payment at maturity date. f) Pre-payment: the City of Miami Gardens can pre-pay the principal in whole or in part without penalty on or after October 1, 2016, subject to providing the Bank a 60-day notice prior to redemption of the bond. g) Deposit – the City must establish a depository relationship with the Bank with a minimum target balance of $3 million. Council approved the first reading of the ordinance for this financing at the February 24, 2016 Council meeting for an amount not to exceed $6,400,000. The final amount to be financed is $6,366,000. Attachment: Bank United Commitment Letter 30 of 99 ORDINANCE NO. 2016-___ 1 2 AN ORDINANCE OF THE CITY COUNCIL OF THE CITY OF 3 MIAMI GARDENS, FLORIDA AUTHORIZING THE 4 BORROWING OF SIX MILLION FOUR HUNDRED 5 THOUSAND DOLLARS ($6,400,000); AUTHORIZING THE 6 ISSUANCE OF CITY OF MIAMI GARDENS, FLORIDA 7 TAXABLE LAND ACQUISITION REVENUE BONDS NOT TO 8 EXCEED SIX MILLION FOUR HUNDRED THOUSAND 9 DOLLARS ($6,400,000); PROVIDING FOR A 10 SUPPLEMENTAL RESOLUTION SETTING FORTH THE 11 DETAILS OF SAID BONDS; PROVIDING FOR ADOPTION 12 OF REPRESENTATIONS; REPEALING ALL ORDINANCES 13 IN CONFLICT; PROVIDING A SEVERABILITY CLAUSE; 14 PROVIDING AN EFFECTIVE DATE. 15 16 WHEREAS, on February 18, 2009, the City issued its $7,300,000 Taxable Land Acquisition 17 Revenue Bonds, Series 2009 (the “Prior Bonds”) for the purpose of financing the costs of 18 purchasing certain real property located in the enterprise zone as part of its economic development 19 activities and in order to foster economic growth in the enterprise zone, and 20 21 WHEREAS, the City was in the process of obtaining financing to refinance the Prior Bonds, 22 but such financing did not became available prior to February 1, 2016, and 23 24 WHEREAS, the Prior Bonds matured on February 1, 2016, and the City paid the outstanding 25 amount of the Prior Bonds on such date from the City’s general fund, and 26 27 WHEREAS, the City desires to reimburse the general fund for such payment by issuing 28 bonds to refinance the Prior Bonds, and 29 30 WHEREAS, the City desires to authorize the borrowing of Six Million Four Hundred 31 Thousand Dollars ($6,400,000), and to authorize the issuance of bonds not exceeding Six Million 32 Four Hundred Thousand Dollars ($6,400,000) for the purpose of reimbursing the general fund for the 33 payoff of the Prior Bonds, thereby refinancing the Prior Bonds, and paying costs of issuance of the 34 bonds, and 35 36 WHEREAS, pursuant to Section 4.3 of the City’s Charter, an ordinance must be adopted in 37 order to authorize the borrowing of money, and 38 39 WHEREAS, the Council desires that the bonds be secured by the utilities service tax and 40 revenue received from State revenue sharing, as further specified by subsequent resolution of the 41 Council, 42 43 44 45 46 47 31 of 99 2 NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY 48 OF MIAMI GARDENS, FLORIDA, AS FOLLOWS: 49 50 SECTION 1. ADOPTION OF REPRESENTATIONS: The foregoing Whereas 51 paragraphs are hereby ratified and confirmed as being true, and the same are hereby made a specific 52 part of this Ordinance. 53 54 SECTION 2. BOND AUTHORIZATION: In accordance with the provisions of the 55 Charter of the City of Miami Gardens, Florida and Chapter 166, Florida Statutes, the City Council of 56 the City of Miami Gardens hereby authorizes the borrowing of Six Million Four Hundred Thousand 57 Dollars ($6,400,000). The City Council further authorizes Taxable Land Acquisition Revenue 58 Bonds (the “Bonds”) of the City to be issued in an aggregate principal amount not to exceed Six 59 Million Four Hundred Thousand Dollars ($6,400,000), in one or more series, for the purpose of 60 reimbursing the general fund for the payoff of the Prior Bonds, thereby refinancing the Prior Bonds, 61 and paying costs of issuance of the Bonds. The Bonds shall be designated “City of Miami Gardens, 62 Florida Taxable Land Acquisition Revenue Bonds, Series 2016” or such other designation as may be 63 approved by supplemental resolution, shall be dated such date, shall be in such denominations, shall 64 be stated to mature in such year or years not later than four (4) years from their date of issuance, shall 65 bear interest at a taxable rate from their dated date at a rate or rates not exceeding the maximum rate 66 permitted by law at the time of issuance of the Bonds, shall be subject to redemption at the option of 67 the City at such times and prices, and shall have such other details, all as shall hereafter be 68 determined by the Council by supplemental resolution.. The Bonds shall be secured by a pledge of 69 the utilities service tax and revenue received from State revenue sharing, as further specified by 70 supplemental resolution of the Council. The supplemental resolution may be adopted, and the Bonds 71 may be issued, at any time after the effective date of this Ordinance. 72 73 SECTION 3. AUTHORIZATION OF OFFICERS: The City Manager and the City 74 Finance Director are each hereby authorized to negotiate with banks and other financial institutions 75 for the purchase of the Bonds and with respect to the terms of the Bonds. The City Attorney and 76 Bond Counsel to the City are hereby authorized to draft documents and to do all other things 77 necessary to accomplish the issuance and sale of the Bonds. 78 79 SECTION 4. CONFLICT: All ordinances or Code provisions in conflict herewith are hereby 80 repealed. 81 82 SECTION 5. SEVERABILITY: If any section, subsection, sentence, clause, phrase or 83 portion of this Ordinance is for any reason held invalid or unconstitutional by any court of competent 84 jurisdiction, such portion shall be deemed a separate, distinct and independent provision and such 85 holding shall not affect the validity of the remaining portions of this Ordinance. 86 87 SECTION 6. The event is coinciding with Haitian Flag Day, which was created May 18, 1803. Haiti was the first Black republic in the World and the first country in the Western Hemisphere to abolish slavery completely. May 18th is observed as the creation of the Haitian flag in a town outside of Port-au-Prince called Arcahaie. In commemoration Haitians celebrate May 18th as a major national holiday to observe the ideals of unity, patriotism and freedom. The flag was sewn by Catherin Flon who was directed to use the colors of red and blue as stripes with a palm tree surrounded by the Phrygian cap of liberty, trophies as wells as a banner that is inscribed with the words ‘Through Unity There is Strength”. Every year in the United States Haitians around the country gather in recognition of this rich tradition to honor their heritage and legacy by wearing or waving the Haitian flag. Celebrations include music, dancing, speeches, food, and parades. Haitian Flag Day is important to Haitians all around the world including the diaspora and in south Florida. Fiscal Impact After the above allocation, Councilman Ighodaro will have $500 available in the City Manager’s Special Events Account. Item K-5) Consent Agenda Resolution Bond Refinance 72 of 99 18605 NW 27th Avenue Miami Gardens, FL 33056 Staff Summary: In 2009, under Ordinance Number 2009-06-178 Council approved the borrowing of $7.3 million for the acquisition of economic development property located at NW 7 avenue extension and NW 7 Ave (Warren Henry property). The bond Series 2009 which is held by Wells Fargo, NA is to be matured on February 1, 2014 with a balloon payment of $6,311,999 in principal. The Council had approved three ordinances to extend the balloon payment until February 1, 2016. At the May 14, 2014 Council meeting, Council authorized the City Manager to negotiate and enter in to a contract for the sale of the property. Numerous amendments to the contract for the sale have been executed and the closing date has been extended beyond February 1, 2016. In December, Finance has issued a Request for Proposal to seek responses for refinancing Series 2009. The City received only one response from Bank United. The Commitment Letter issued by the Bank United has the following terms and conditions: a)Interest costs – variable rate based on 30 days LIBOR rate plus 2.25% b)Revenue Pledge – Public Service Tax and State Revenue Sharing c)Commitment fee – 0.50% of the issue amount d)Bank Counsel fee - $7,500 e)Term: 3 year term, principal and interest payment semiannually in arrears with a balloon payment at maturity date. f)Pre-payment: the City of Miami Gardens can pre-pay the principal in whole or in part without penalty on or after October 1, 2016, subject to providing the Bank a 60-day notice prior to redemption of the bond. g)Deposit – the City must establish a depository relationship with the Bank with a minimum target balance of $3 million. THE ISSUANCE OF THE BONDS SHALL NOT DIRECTLY OR 90 75 of 99 3 INDIRECTLY OR CONTINGENTLY OBLIGATE THE CITY TO LEVY OR TO PLEDGE 91 ANY FORM OF AD VALOREM TAXATION WHATEVER THEREFOR, NOR SHALL THE 92 BONDS CONSTITUTE A CHARGE, LIEN, OR ENCUMBRANCE, LEGAL OR 93 EQUITABLE, UPON ANY PROPERTY OF THE CITY, AND THE HOLDERS OF THE 94 BONDS SHALL HAVE NO RECOURSE TO THE POWER OF AD VALOREM TAXATION. 95 96 (b) Interest Rate. Subject to adjustment as provided below, the Bonds shall bear 97 interest on the outstanding principal balance from their date of issuance payable semiannually on 98 each April 1 and October 1 (the “Interest Payment Dates”), commencing October 1, 2016, at a 99 variable interest rate equal to (i) LIBOR (as defined below) plus (ii) 225 basis points (2.25%). 100 101 “LIBOR” shall mean the London Interbank Offered Rate of interest for an interest period 102 of one (1) month, which rate appears on the day that is two London Business Days preceding the 103 applicable Adjustment Date on the page of Bloomberg report service, or such similar service as 104 determined by the Bank, that displays the ICE Benchmark Administration (IBA) interest 105 settlement rates of deposits in U.S. Dollars, as of 11:00 a.m. (London, England time). 106 “Adjustment Date” means the first day of each month. “London Business Day” shall mean any 107 day on which commercial banks in London, England are open for general business. 108 109 Interest on the Bonds shall be computed on the basis of a 360-day year consisting of 110 twelve (12) thirty-day months. 111 112 If an “event of default” occurs under Section 12 of this Resolution, the interest rate on the 113 Bonds shall immediately be adjusted to a rate equal to the rate on the Bonds, plus three percent 114 (3%). 115 116 (c) Prepayment Provisions 117 118 (i) Mandatory Prepayment. The principal of the Bonds shall be 119 subject to mandatory prepayment in semi-annual installments on each Interest Payment 120 Date, commencing October 1, 2016 (each a “Scheduled Due Date”), as set forth in 121 Exhibit “A” hereto. 122 123 (ii) Optional Prepayment. The Bonds are subject to optional 124 prepayment in whole or in part on or after October 1, 2016, upon written notice to the 125 registered Owners thereof given by the City at least sixty (60) days prior to the date fixed 126 for prepayment, on the first day of each month following such 60-day notice, at a price of 127 par plus accrued interest to the date of prepayment. 128 129 SECTION 4. EXECUTION OF BONDS: The Bonds shall be signed in the name of the 130 City by the Mayor and attested to by the City Clerk, and its seal shall be affixed thereto or 131 imprinted or reproduced thereon. The signatures of the Mayor and the City Clerk on the Bonds 132 may be manual or facsimile signatures, provided that the signature of one of such officers shall 133 be a manual signature. In case any one or more of the officers who shall have signed or sealed 134 any of the Bonds shall cease to be such officer of the City before the Bonds so signed and sealed 135 76 of 99 4 shall have been actually sold and delivered, such Bonds may nevertheless be sold and delivered 136 as herein provided and may be issued as if the person who signed and sealed such Bonds had not 137 ceased to hold such office. Any Bonds may be signed and sealed on behalf of the City by such 138 person as at the actual time of the execution of such Bonds shall hold the proper office, although 139 at the date of issuance of such Bonds such person may not have held such office or may not have 140 been so authorized. 141 142 SECTION 5. NEGOTIABILITY, REGISTRATION AND CANCELLATION: The 143 City shall serve as Registrar and as such shall keep books for the registration of Bonds and for 144 the registration of transfers of Bonds. Bonds may be transferred or exchanged upon the 145 registration books kept by the City, upon delivery to the City, together with written instructions 146 as to the details of the transfer or exchange, of such Bonds in form satisfactory to the City and 147 with guaranty of signatures satisfactory to the City, along with the social security number or 148 federal employer identification number of any transferee and, if the transferee is a trust, the name 149 and social security or federal tax identification numbers of the settlor and beneficiaries of the 150 trust, the date of the trust and the name of the trustee. Bonds may be exchanged for one or more 151 Bonds of the same aggregate principal amount and maturity and in denominations in integral 152 multiples of $250,000 (except that an odd lot is permitted to complete the outstanding principal 153 balance). No transfer or exchange of any Bond shall be effective until entered on the registration 154 books maintained by the City. 155 156 The City may deem and treat the person in whose name any Bond shall be registered upon 157 the books kept by the City as the absolute Owner of such Bond, whether such Bond shall be 158 overdue or not, for the purpose of receiving payment of, or on account of, the principal of and 159 interest on such Bond as they become due and for all other purposes. All such payments so made 160 to any such Owner or upon his order shall be valid and effectual to satisfy and discharge the 161 liability upon such Bond to the extent of the sum or sums so paid. 162 163 In all cases in which Bonds are transferred or exchanged in accordance with this Section, 164 the City shall execute and deliver Bonds in accordance with the provisions of this Resolution. All 165 Bonds surrendered in any such exchanges or transfers shall forthwith be canceled by the City. 166 There shall be no charge for any such exchange or transfer of Bonds, but the City may require the 167 payment of a sum sufficient to pay any tax, fee or other governmental charge required to be paid 168 with respect to such exchange or transfer. The City shall not be required to transfer or exchange 169 Bonds for a period of fifteen (15) days next preceding an interest payment date on such Bonds. 170 171 All Bonds, the principal and interest of which has been paid, either at or prior to maturity, 172 shall be delivered to the City when such payment is made, and shall thereupon be canceled. 173 174 So long as the Bank is the owner of any of the Bonds, the Bonds shall not be rated by any 175 national bond rating agency, shall not be subject to registration under a book-entry-only system 176 maintained by The Depository Trust Company, New York, New York and will not bear CUSIP 177 numbers. 178 179 180 77 of 99 5 SECTION 6. BONDS MUTILATED, DESTROYED, STOLEN OR LOST: In case 181 any Bond shall become mutilated or be destroyed, stolen or lost, the City may in its discretion 182 issue and deliver a new Bond of like tenor as the Bond so mutilated, destroyed, stolen or lost, in 183 the case of a mutilated Bond, in exchange and substitution for such mutilated Bond upon 184 surrender of such mutilated Bond or in the case of a destroyed, stolen or lost Bond in lieu of and 185 substitution for the Bond destroyed, stolen or lost, upon the Owner furnishing the City proof of 186 his ownership thereof, satisfactory proof of loss or destruction thereof and satisfactory indemnity, 187 complying with such other reasonable regulations and conditions as the City may prescribe and 188 paying such expenses as the City may incur. The City shall cancel all mutilated Bonds that are 189 surrendered. If any mutilated, destroyed, lost or stolen Bond shall have matured or be about to 190 mature, instead of issuing a substitute Bond, the City may pay the principal of and interest on 191 such Bond upon the Owner complying with the requirements of this paragraph. 192 193 Any such duplicate Bonds issued pursuant to this section shall constitute original 194 contractual obligations of the City whether or not the lost, stolen or destroyed Bonds be at any 195 time found by anyone, and such duplicate Bonds shall be entitled to equal and proportionate 196 benefits and rights as to lien on and source and security for payment from the funds, as 197 hereinafter pledged, to the extent as all other Bonds issued hereunder. 198 199 SECTION 7. APPLICATION OF BOND PROCEEDS: 452 453 (a) The proceeds received upon sale of the Bonds shall be used on the date of 454 issuance of the Bonds to reimburse the general fund for the payoff of the Prior Bonds, and to pay 455 costs of issuance of the Bonds. 456 457 (b) The registered Owners shall have no responsibility for the use of the 458 proceeds of the Bonds, and the use of such Bond proceeds by the City shall in no way affect the 459 rights of such registered Owners. The City shall be obligated to apply the proceeds of the Bonds 460 solely for reimbursing the general fund for the payoff of the Prior Bonds and to pay the costs of 461 issuance of the Bonds. However, the City shall be irrevocably obligated to continue to pay the 462 principal of and interest on the Bonds notwithstanding any failure of the City to use and apply 463 such Bond proceeds in the manner provided herein. 464 84 of 99 12 465 SECTION 10. SPECIAL COVENANTS OF THE CITY: 466 467 (a) The City shall, on or before March 31 following each fiscal year end, 468 beginning March 31, 2016, provide the Owners of the Bonds with a printed copy or electronic 469 version of its Comprehensive Annual Financial Report for the preceding fiscal year. The City 470 shall, on or before October 15 of each year, beginning October 15, 2016, provide the Owners of 471 the Bonds with a printed copy or electronic version of its annual budget for the fiscal year 472 beginning on October 1 of such year. The City shall also provide to the Owners of the Bonds any 473 other financial information reasonably requested by such Owners. 474 475 (b) The City will not issue any additional obligations secured by either Electric 476 Utility Tax Revenues or the State Revenue Sharing Funds, ranking equal with, prior to or 477 subordinate to the lien of the Bonds on the Electric Utility Tax Revenues and/or the State 478 Revenue Sharing Funds, as applicable, without the prior written consent of the Owners of the 479 Bonds. 480 481 (c) On the date of issuance of the Bonds, the City shall pay to the Bank a 482 commitment fee equal to 0.50% of the principal amount of the Bonds, and the fees of counsel to 483 the Bank in the amount of $7,500. 484 485 (d) The City shall establish and maintain a depositary relationship with the Bank 486 with a minimum deposit balance of at least $3,000,000 during the term of the Bonds, so long as 487 the Bank is the majority owner of the Bonds. 488 489 SECTION 11. COVENANTS BINDING ON CITY AND SUCCESSOR: All 490 covenants, stipulations, obligations and agreements of the City contained in this Resolution shall 491 be deemed to be covenants, stipulations, obligations and agreements of the City to the full extent 492 authorized or permitted by law, and all such covenants, stipulations, obligations and agreements 493 shall be binding upon the successor or successors thereof from time to time and upon the officer, 494 board, body or commission to whom or to which any power or duty affecting such covenants, 495 stipulations, obligations and agreements shall be transferred by or in accordance with law. 496 497 Except as otherwise provided in this Resolution, all rights, powers and privileges 498 conferred and duties and liabilities imposed upon the City or upon the City Council by the 499 provisions of this Resolution shall be exercised or performed by the City Council or by such 500 officers, board, body or commission as may be required by law to exercise such powers or to 501 perform such duties. 502 503 No covenant, stipulation, obligation or agreement herein contained shall be deemed to be 504 a covenant, stipulation, obligation or agreement of any present or future member of the City 505 Council or officer, agent or employee of the City in his or her individual capacity, and neither the 506 members of the City Council nor any officer, agent or employee of the City executing the Bonds 507 shall be liable personally on the Bonds or be subject to any personal liability or accountability by 508 reason of the issuance thereof. 509 85 of 99 13 510 SECTION 12. EVENTS OF DEFAULT: Each of the following events is hereby 511 declared an “event of default”: 512 513 (a) payment of the principal of any of the Bonds shall not be made when the 514 same shall become due and payable; or 515 516 (b) payment of any installment of interest on any of the Bonds shall not be 517 made when the same shall become due and payable; or 518 519 (c) the City shall default in the due and punctual performance of any 520 covenant, condition, agreement or provision contained in the Bonds or in this Resolution (except 521 for a default described in subsection (a) or (b) of this Section) on the part of the City to be 522 performed, and such default shall continue for sixty (60) days after written notice specifying such 523 default and requiring same to be remedied shall have been given to the City by any Owner of any 524 bond; provided that it shall not constitute an event of default if the default is not one that can be 525 cured within such sixty (60) days, as agreed by the Bondholders and the City, and the City 526 commences within such sixty (60) days and is proceeding diligently with action to correct such 527 default; 528 529 (d) any proceeding shall be instituted with the consent of the City for the 530 purpose of effecting a composition between the City and its creditors or for the purpose of 531 adjusting the claims of such creditors pursuant to any federal or state statute now or hereafter 532 enacted and such proceedings shall not have been dismissed within thirty (30) days after the 533 institution of the same; or 534 535 (e) a payment default occurs under any other debt or obligation of the City 536 which is secured by the Pledged Revenues. 537 538 SECTION 13. REMEDIES; RIGHTS OF BONDHOLDERS: 539 540 (a) Upon the occurrence and continuance of any event of default specified in 541 Section 12(a), (b) or (e) hereof, the Owners of the Bonds may declare all payments of principal 542 and accrued interest to be immediately due and payable, whereupon the same shall become 543 immediately due and payable. 544 545 (b) Upon the occurrence and continuance of any event of default specified in 546 Section 12(c) or (d) hereof, the Owners of the Bonds may pursue any available remedy by suit, at 547 law or in equity, to enforce the payment of the principal of and interest on the Bonds then 548 outstanding. 549 550 No delay or omission to exercise any right or power accruing upon any default or event of 551 default shall impair any such right or power or shall be construed to be a waiver of any such 552 default or event of default or acquiescence therein; and every such right and power may be 553 exercised from time to time and as often as may be deemed expedient. No waiver of any event of 554 86 of 99 14 default hereunder shall extend to or shall affect any subsequent event of default or shall impair 555 any rights or remedies consequent thereon. 556 557 The City agrees, to the extent permitted by law, to indemnify the Bank and its directors, 558 officers, employees and agents from any against any losses, claims, damages, liabilities and 559 expenses (including, without limitation, counsel fees and expenses) which may be incurred in 560 connection with enforcement of the provisions of this Resolution and the Bonds. 561 562 SECTION 14. DEFEASANCE: 563 564 (a) The covenants, liens and pledges entered into, created or imposed pursuant 565 to this Resolution may be fully discharged and satisfied with respect to the 566 Bonds in any one or more of the following ways. 567 568 (i) by paying the principal of, prepayment premium, if any, and 569 interest on the Bonds when the same shall become due and 570 payable; or 571 572 (ii) by depositing with an escrow agent certain moneys irrevocably 573 pledged to the payment of the Bonds, which together with other 574 moneys lawfully available therefor, if any, shall be sufficient at the 575 time of such deposit with the escrow agent to pay when due the 576 principal, prepayment premium, if any, and interest due and to 577 become due on said Bonds on or prior to the prepayment date or 578 maturity date thereof; or 579 580 (iii) by depositing with an escrow agent moneys irrevocably pledged to 581 the payment of the Bonds, which together with other moneys 582 lawfully available therefor, when invested by the escrow agent in 583 direct obligations of the United States of America which shall not 584 be subject to redemption prior to their maturity other than at the 585 option of the holder thereof, will provide moneys which shall be 586 sufficient (as evidenced by a verification report of an independent 587 certified public accountant or firm of accountants) to pay when due 588 the principal, prepayment premium, if any, and interest due and to 589 become due on said Bonds on or prior to the prepayment date or 590 maturity date thereof. 591 592 Upon such payment or deposit with an escrow agent in the amount and manner provided 593 in this Section 14, the Bonds shall be deemed to be paid and shall no longer be deemed to be 594 Outstanding for the purposes of this Resolution and the covenants of the City hereunder and all 595 liability of the City with respect to said Bonds shall cease, terminate and be completely 596 discharged and extinguished and the holders thereof shall be entitled to payment solely out of the 597 moneys or securities so deposited with the escrow agent; provided, however, that (i) if any Bonds 598 are to be redeemed prior to the maturity thereof, notice of the redemption thereof shall have been 599 87 of 99 15 duly given in accordance with the provisions of Section 3 hereof and (ii) in the event that any 600 Bonds are not by their terms subject to redemption with the next succeeding sixty (60) days 601 following a deposit of moneys with the escrow agent in accordance with this Section, the City 602 shall have given the escrow agent in form satisfactory to it irrevocable instructions to mail to the 603 Owners of such Bonds at their addresses as they appear on the registration books of the City, a 604 notice stating that a deposit in accordance with this Section has been made with the escrow agent 605 and that the Bonds are deemed to have been paid in accordance with this Section and stating such 606 maturity or redemption date upon which moneys are to be available for the payment of the 607 principal of, premium, if any, and interest on said Bonds. 608 609 (b) Notwithstanding the foregoing, all references to the discharge and 610 satisfaction of Bonds shall include the discharge and satisfaction of any 611 portion of the Bonds. 612 613 (c) If any portion of the moneys deposited with an escrow agent for the 614 payment of the principal of, redemption premium, if any, and interest on 615 any portion of the Bonds is not required for such purpose, the escrow 616 agent shall transfer to the City the amount of such excess and the City may 617 use the amount of such excess free and clear of any trust, lien, security 618 interest, pledge or assignment securing said Bonds or otherwise existing 619 under this Resolution. 620 621 SECTION 15. SALE OF BONDS: Based upon the uncertainty of the interest rate 622 environment if sale of the Bonds is delayed, the City hereby determines and finds the necessity 623 for a negotiated sale of the Bonds. The City has been provided all applicable disclosure 624 information required by Section 218.385, Florida Statutes. The negotiated sale of the Bonds is 625 hereby approved to the Bank at a purchase price of par. 626 627 SECTION 16. AUTHORITY OF OFFICERS: The Mayor, the City Manager and the 628 City Clerk are and each of them is hereby authorized and directed to execute and deliver any and 629 all documents and instruments and to do and cause to be done any and all acts and things 630 necessary or proper for carrying out the transaction contemplated by this Resolution and the other 631 documents identified herein. 632 633 SECTION 17. SEVERABILITY: In case any one or more of the provisions of this 634 Resolution or of any Bonds issued hereunder shall for any reason be held to be illegal or invalid, 635 such illegality or invalidity shall not affect any other provision of this Resolution or of the Bonds, 636 but this Resolution and the Bonds shall be construed and enforced as if such illegal or invalid 637 provision had not been contained therein. The Bonds are issued and this Resolution is adopted 638 with the intent that the laws of the State shall govern their construction. 639 640 SECTION 18. PAYMENTS DUE ON NON-BUSINESS DAYS: In any case where the 641 date of maturity of interest on or principal of the Bonds shall be a day which is not a Business 642 Day, then payment of such interest or principal need not be made by the City on such date but 643 may be made on the next succeeding Business Day, but such interest shall continue to accrue 644 88 of 99 16 until payment is received by the Owners of the Bonds. “Business Day” means any day upon 645 which the Bank is open for normal business other than a Saturday or Sunday or a day on which 646 banks in the State of Florida are authorized or obligated by law, executive order or governmental 647 decree to be closed, and upon which the relevant international markets are open for business in 648 London, England and Miami, Florida 649 650 SECTION 19. OPEN MEETING FINDINGS: It is hereby found and determined that 651 all official acts of the City Council concerning and relating to the adoption of this Resolution and 652 all prior resolutions affecting the City Council’s ability to issue the Bonds were taken in an open 653 meeting of the City Council and that all deliberations of the City Council or any of its 654 committees that resulted in such official acts were in meetings open to the public, in compliance 655 with all legal requirements, including Section 286.011, Florida Statutes. 656 657 SECTION 20. REPEALING CLAUSE: All resolutions and parts thereof in conflict 658 herewith, to the extent of such conflicts, are hereby superseded and repealed. 659 660 SECTION 21. WAIVER OF JURY TRIAL: To the extent permitted by applicable 661 law, the City, knowingly, voluntarily and intentionally waives any right it may have to a trial by 662 jury in respect of any litigation based on, or arising out of, under or in connection with this 663 Resolution, the Bonds or any agreement contemplated to be executed in connection with this 664 Resolution, or any course of conduct, course of dealing, statements (whether verbal or written) or 665 actions of the City or the Bank with respect hereto. The City acknowledges that this provision is 666 a material inducement to the Bank to purchase the Bonds. 667 668 SECTION 22. The extra requirements of this section shall be deemed necessary in order for uses subject to such requirements to be considered appropriate and compatible within the applicable zoning districts where such extra requirements apply. * * * * * * * * * * * * (32) Mobile Food Carts. (1). A mobile food cart is a cart that sells foods that requires limited preparation. Mobile food carts shall not sell any prepackaged foods and shall not be used as a transporter used to transport packaged. (2). Mobile food carts shall be permitted to operate in the (PCD) zoning district. a. No operator of a mobile food cart shall park or stand such vehicle: 1. On any private property without the express consent of the owner or lessee of such property and unless such written consent is kept in the mobile food cart at all times when the facility is on the property and presented to the City upon request; and 2. On properties of the City of Miami Gardens, or on any public right-of-way without the express written consent of the City of Miami Gardens. b. The location of all food trucks shall comply with the Americans with Disability Act. d. The sale of alcoholic beverages shall be prohibited. (3). The following operational requirements during the operation of a mobile food cart must also be met: a. No food shall be stored, displayed, or served from any place other than the mobile food cart. The use of tables, benches, and other such devices to display or serve items for use is prohibited; b. Food condiments shall be protected from contamination. Food condiments provided for customer self-service shall be prepackaged or shall be from approved dispensing devices; c. Utensils and equipment shall be handled and stored to be protected from contamination. Single-service utensils shall be obtained from sanitary containers or approved sanitary dispensers, stored in a clean, dry place until used, handled in a sanitary manner, and used only once; d. All mobile food cart shall be required to provide proof of state licenses, including a valid mobile food establishment permit issued by the Florida Department of Agriculture and Consumer Services (FDACS) and Commissary Letter of Agreement 98 of 99 Page 6 (FDACS form 14223), and a food handling license for each individual mobile food cart in order to temporarily operate in the City of Miami Gardens. (4). All mobile food cart operators shall obtain and keep in full force and effect the following types and amounts of insurance with an insurance carrier authorized to conduct business in the State of Florida: (i) Commercial general liability insurance (occurrence insurance) including, without limitation, personal injury, property damage and contractual liability (applicable to the indemnity provisions of this Agreement), with minimum limits of Five Hundred Thousand Dollars ($500,000) each occurrence and One Million Dollars ($1,000,000) aggregate. (5). All operators of mobile food carts shall be required to obtain a Business Tax Receipt from the City of Miami Gardens. (6). Mobile Food carts shall only be permitted on Thursday’s, Friday’s, Saturdays and Sundays for a maximum of four (4) hours. (7). Mobile food carts shall not be operated within 1000 feet of another mobile food cart. (8). Mobile food carts shall be managed in accordance with the following policies: a. The quiet, safety, and cleanliness of the mobile food carts site and its adjacent area shall be maintained. b. Proper and adequate storage and disposal of debris and garbage shall be provided. c. Noise and odors shall be contained within immediate area of mobile food cart site so as not to be a nuisance to neighbors. (9). Each mobile food cart shall meet the following facility requirements related to sinks, refuse receptacles, and restrooms: a. Any mobile food cart shall be equipped with a hand-washing sink, a three-compartment washing sink, and an adequate supply of running hot water. b. Mobile food carts shall be equipped with a suitable, tight, nonabsorbent washable receptacle for refuse. c. Mobile food cart operators shall, by a written agreement with other business establishments, arrange for the availability of a restroom and hand-washing sink that may be used by employees working in the mobile food cart when the facility is parked in the same place for more than two hours. The restroom and hand- washing sink must be within 200 feet of the mobile food cart. The copy of the agreement shall be kept in the facility at all times and shall be made available for inspection by the police department, department of building and code compliance, and any other regulatory agency. (10). No permit shall be transferable. (11). If the City determines that the permittee has violated any portion of this Ordinance, the City shall order the permittee to correct the violation within a specified time period, or can immediately order the violator to vacate an occupied area.
